These terms govern your use of HARBOUR AI — the free Community Edition, one-time purchase licences, and subscription tiers. By downloading or using the software you agree to these terms. Please read them.
In these terms, the following words have the meanings below:

| "Community Edition" | The free tier of the Software, available from GitHub Releases at no charge under a proprietary free-use licence. |
| "Paid Licence" | Any Solo, Business, or Enterprise tier obtained through a one-time purchase or subscription. |
| "Licence Key" | A unique activation key issued to you upon purchase that unlocks paid features. |
| "Subscription" | A recurring payment arrangement granting a Paid Licence for the duration of the billing period. |
| "One-Time Purchase" | A single payment granting a perpetual licence to use the version of the Software current at the time of purchase. |
These Terms & Conditions ("Terms") apply to all use of HARBOUR AI, regardless of which tier you use. They form a legally binding agreement between you and LOOSEKEY.
By downloading, installing, activating, or using the Software, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation.
If you do not agree to these Terms, you must not use the Software.
Age requirement: You must be at least 18 years old (or the age of legal majority in your jurisdiction, if higher) to enter into this agreement. If you are using the Software in a professional capacity, your employer's or organisation's acceptance of these Terms covers your use.
Subject to your compliance with these Terms, LOOSEKEY grants you a non-exclusive, non-transferable, revocable licence to install and use the Software on devices owned or controlled by you, for your own internal business or personal purposes.
HARBOUR AI is available across three tier types. The features and restrictions of each are set out below. Current pricing and feature comparisons are published at harbour-ai.co.uk/#pricing.
Enterprise tiers: Enterprise agreements (including multi-site deployment, white-labelling rights, or managed service use) are governed by a separate Enterprise Agreement negotiated directly with LOOSEKEY. Contact loosekeyz84@proton.me to discuss.
Payment is taken at the time of purchase. On successful payment, your Licence Key is issued. One-time purchases are non-refundable once the Licence Key has been activated and delivered, except where required by applicable consumer law (see below).
If you are a consumer (not purchasing in the course of a business), you have a statutory right to cancel within 14 days of purchase under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise this right, contact us at loosekeyz84@proton.me before activating your Licence Key. Once activated, the right to cancel may be waived for digital content under Regulation 37 of those Regulations, where you have expressly consented to immediate performance.
Business purchases: The 14-day cooling-off right applies to consumers only. If you purchase HARBOUR AI in the course of a business, there is no statutory right to cancel a one-time purchase.
Prices are displayed exclusive of VAT where applicable. UK customers will be charged VAT at the prevailing rate. You are responsible for any other taxes or duties applicable in your jurisdiction.
LOOSEKEY commits to the following:
Transparency: Binary releases for HARBOUR AI are published at github.com/LOOSEKEY/HARBOUR-AI. The source code is proprietary and not publicly available. Independent security audits are available on request for Enterprise customers.

The Software uses local AI language models to generate responses. You acknowledge and agree that:
Note on AI accuracy: Large language models can and do produce incorrect outputs ("hallucinations"). Never rely on an AI-generated output for any decision that carries legal, clinical, financial, or safety consequences without independent verification by a qualified professional.
The Software, including its source code, design, documentation, and all associated materials, is the intellectual property of LOOSEKEY and is protected by UK copyright law and international treaties.
The Community Edition is proprietary software made available at no charge under these Terms. The source code is not published. You may install and use the Community Edition on your own hardware for personal or internal business purposes only. You may not modify, decompile, or redistribute it.
The names "HARBOUR AI", "LOOSEKEY", and associated logos and marks are the intellectual property of LOOSEKEY and may not be used to identify, promote, or distribute any version of the Software without written permission from LOOSEKEY.
All data you input into the Software — conversations, documents, knowledge base content, agent memories — remains entirely yours. LOOSEKEY claims no rights over your data. Because all data is stored locally on your own device, LOOSEKEY has no access to it.
Outputs generated by the AI models running through HARBOUR AI are subject to the licence terms of the model used (e.g. Meta's Llama licence for Llama models). LOOSEKEY makes no representation as to the ownership or copyright status of AI-generated outputs. You are responsible for determining whether outputs may be used for your intended purpose.
To the fullest extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE" without warranty of any kind, express or implied.
LOOSEKEY does not warrant that:
Consumer rights: Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015 or other applicable consumer protection legislation. If you are a consumer, you have statutory rights in relation to software that is not of satisfactory quality or not as described. These rights cannot be excluded.
To the fullest extent permitted by applicable law:
Not excluded: Nothing in these Terms limits LOOSEKEY's liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited by English law.
LOOSEKEY may update, modify, or discontinue features of the Software at any time. Material changes — particularly changes that remove functionality included in a Paid Licence — will be documented in the public changelog (README.md and GitHub Releases) with reasonable advance notice.
Subscription holders will receive notice of material feature removals before they take effect and may cancel without penalty if the change materially affects the value of the subscription.
We may update these Terms from time to time. Where a change is material — such as a change to payment terms, licence scope, or liability — we will provide at least 30 days' notice before the change takes effect. Notice will be provided by posting the updated Terms on this page and, where possible, by email to the address associated with your purchase.
Your continued use of the Software after the effective date of any change constitutes your acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Software and, if you hold a Subscription, cancel it before the change takes effect.
The version and date of the current Terms are shown in the page header. Previous versions are available on request.
These Terms and any dispute or claim arising from or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the law of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from these Terms, subject to the following:
Before bringing any formal legal proceedings, we encourage you to contact us directly at loosekeyz84@proton.me. We will make reasonable efforts to resolve any dispute informally. This does not affect your right to bring formal proceedings at any time.
